Sales Sherpa™

Terms of Service

Effective: October 13, 2026. These terms cover Sales Sherpa, Sales Sherpa Advanced, Sales Sherpa Hub and Tempo (together, the "Service"). The Service is provided by Pewaukee Capital, LLC, a Wisconsin limited liability company ("we" or "us"). By creating an account, subscribing, or using the Service you agree to these terms and to our Privacy Policy.

  1. Who can use it. You must be at least 18 and able to form a contract. One account per person. If you use the Service for an employer or distributor, you confirm you are allowed to, and these terms bind you personally as well.
  2. What the Service does. You upload your own documents. The Service organizes them, extracts dates and quantities you confirm, drafts requests, order sheets and emails for your review, sends reminders, and answers questions only from your documents, with citations. Answers and drafts can be incomplete or wrong; always check the cited source before relying on it. Nothing becomes an order, a commitment or a clinical decision until a person reviews and approves it outside the Service. The Service is a reference and organization tool for business use. It is not a medical device, not clinical software, not an inventory system of record, and does not replace manufacturer instructions, facility policy or your own judgment.
  3. Our intellectual property. The Service and everything that makes it up are owned by us or our licensors and protected by copyright, trademark, trade-secret and other laws. This includes the software, source code, user interface, design, workflows, prompts, extraction and reconciliation logic, classification rules, report and order-sheet templates, sample files, documentation, demo content, and the names and logos "Sales Sherpa", "Sales Sherpa Advanced" and "Tempo". Nothing in these terms gives you any ownership of the Service or any right to use our names or logos without written permission. All rights not expressly granted are reserved.
  4. Your licence to use the Service. For as long as your subscription is active and you follow these terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for your own internal business. You may not sublicense, rent, resell or share your account.
  5. What you may not do. You may not copy, modify, translate or create derivative works of the Service; reverse engineer, decompile or try to extract source code, prompts, models or templates; remove or alter any notice of ownership; use the Service or its output to build, train, benchmark or improve a competing product or any AI model; access the Service by automated means beyond normal personal use; probe, test or bypass security or account isolation; access or attempt to access another user's content; or use the Service for anything unlawful.
  6. Your content. You keep all rights to the documents, notes and data you upload ("your content"). You give us a limited, worldwide, royalty-free licence to host, copy, process, index, transmit and display your content only as needed to run the Service for you, to provide support you ask for, and to keep the Service secure. We do not claim ownership of your content, do not sell it, do not use it to advertise to anyone, and do not use it to train AI models. The licence ends when your content is deleted, except for backups that roll off in the ordinary course.
  7. Your promises about your content. You confirm that you have the right to upload each document and to let us process it as described. This includes manufacturer catalogs, brochures, instructions for use, price lists, schedules, order history and other material that may belong to a manufacturer, facility or employer; you are responsible for having the permission needed. Do not upload anything that infringes someone else's rights, breaks a confidentiality obligation you have, or that you are not allowed to share with a service provider.
  8. Health information. The Service is built for product and logistics documents, not patient records. Do not upload protected health information or patient identifiers (names, dates of birth, medical record numbers, insurance details) unless a signed business associate agreement with us is in place, which it is not by default. Where a schedule or order history contains patient details, remove or redact them before uploading. Sales Sherpa Hub strips patient columns it recognizes before storing case facts (see section 12), but you remain responsible for compliance with HIPAA and similar laws for anything you upload or route to the Service.
  9. Output. Case lists, draft requests, order sheets, emails, answers and other material the Service produces from your content ("output") is yours to use for your internal business. Output is generated from your content and from the Service's templates and logic; you may not represent it as a product of any manufacturer or as an official document of any facility, and you may not use it to build a competing product. Output is a draft until you review and approve it. Similar output may be produced for other users from their own documents.
  10. Feedback. If you send suggestions, ideas or feedback, you give us the right to use them without obligation to you. Feedback does not include your content.
  11. Confidentiality. We treat your content as confidential. We disclose it only to the service providers named in our Privacy Policy, who are bound to protect it, or when the law requires.
  12. Organizations and Sales Sherpa Hub. A distributor or other business (an "Organization") may set up Sales Sherpa Hub. The Organization is given an inbound email address (or forwards its own address to it); schedules and case documents that schedulers, facilities or the Organization's own people send to that address are read by the Service and reduced to case facts: date, time, room, surgeon, procedure, side, facility, the vendor, implants and rep written on the schedule, scheduling comments and status. Those facts belong to the Organization and are visible to the Organization's owner and the managers it names. Before any case facts are stored, the Service removes patient identifiers (names, initials, medical record and account numbers, dates of birth, insurance details) and does not keep the underlying documents. Hub data comes only from documents sent to the Organization's address or uploaded by its owner or managers; the Service does not copy, share or expose any individual user's Sales Sherpa or Sales Sherpa Advanced workspace, notes, drafts or documents to an Organization, and an Organization cannot see them. If an Organization asks its representatives to add the Organization's address to schedule emails, it is the Organization's responsibility to tell those representatives and the sending facilities that it does so and what it collects; we make this description available to anyone the Organization points to it. The Organization's owner is responsible for who it names as a member, for the accuracy of the brand list it uses to mark cases as its own, for any revenue estimates it enters, and for its own compliance with contracts it has with manufacturers, facilities and representatives.
  13. Acceptable use. No unlawful content, no attempts to access other users' data, no reverse engineering, no automated bulk use beyond normal personal use, no reselling access.
  14. Subscriptions. Sales Sherpa and Sales Sherpa Advanced are separate products with separate subscriptions; one does not include the other. Paid plans renew at the end of each billing period (monthly, yearly or every two years, as you choose) until cancelled. Prices are shown before purchase and may change with 30 days' notice. Payments are processed by Stripe, which acts as reseller and merchant of record and handles applicable sales tax.
  15. Cancellation and refunds. You can cancel any time; cancelling stops future billing and you keep access until the end of the paid period. Payments are non-refundable. See the Refund Policy.
  16. Availability and changes to the Service. We aim for high availability but do not guarantee uninterrupted service. We may change, pause or retire features, and may pause costly features temporarily to protect the Service.
  17. Termination. You can delete your account at any time in Settings; this deletes your documents, records and history. We may suspend or end accounts that break these terms or put the Service or other users at risk. Sections 3, 5, 9, 10, 11 and 17 to 22 survive termination.
  18. Copyright complaints. If you believe content in the Service infringes your copyright, email support@getsalessherpa.com with the work, the location, your contact details and a statement under penalty of perjury that you are authorized to act. We respond to valid notices and may remove content and close repeat-infringer accounts.
  19. Indemnity. You will defend and compensate us for claims, losses and costs (including reasonable legal fees) that arise from your content, your breach of these terms, or your use of output in violation of someone else's rights or the law.
  20. Disclaimers. The Service and output are provided "as is" and "as available". To the extent the law allows, we disclaim implied warranties, including merchantability, fitness for a particular purpose, accuracy and non-infringement.
  21. Limitation of liability. To the extent the law allows, our total liability for all claims is limited to the amount you paid us in the 12 months before the claim. We are not liable for indirect, incidental, special or consequential losses, lost profits, lost orders, or losses from relying on output without review.
  22. Changes to these terms. We may update these terms with notice in the app or by email. Continued use after the effective date means you accept them.
  23. Law and disputes. These terms are governed by the laws of the State of Wisconsin, USA. Disputes will be brought in the state or federal courts located in Waukesha County, Wisconsin, and you consent to their jurisdiction.
